Welcome to the IES (International Evaluation System) platform IES ("platform" or "IES"), created and developed by IYA ASSESSORIA E SOFTWARES LTDA - ME, a limited company registered in the Commercial Registry of Rio Grande do Sul under NIRE nº 43208021197 , enrolled with the CNPJ under no. 26.314.444 / 0001-95, with headquarters at Rua Dona Carlinda, number 450, room 223 - Centro, Canela - RS, CEP: 95.680-000, holder of all platform content and all the intellectual rights contained therein, protected by law and with the use regulated by this document.
Please read the following terms and conditions carefully ("Terms of Use") before using this platform. Access to and use of the platform presupposes full agreement with the content of these Terms of Use, which may be changed at any time by publishing its new version on the platform itself.
By accessing or using, in any way, this platform, on any computer, tablet, smartphone, or any other device ("device"), whether online or offline, you hereby have read, understood and agree to be submitted to the terms of use and the applicable law, regardless of the realization of a registration as a user of the platform. This document is applicable, therefore, to all and any users of the platform, including casual visitors. In the event of amendment of the terms of use, the continuity of the use of the platform after the publication of their amendment shall imply the user's annuity with the modifications. - transmit any harmful file or content, such as worms, viruses, or spyware;
- infringe on the privacy or rights of any entity or person;
- possess or control more than one account on our website without prior authorization from us;
- use an anonymizing proxy;
- refuse to provide confirmation of any personal information you provide to IYA ASSESSORIA E SOFTWARES LTDA - ME;
- provide misleading, inaccurate, or false Personal Information;
- infringe our right of privacy or publicity, trade secret, trademark, patent, copyright or other intellectual property rights;
- violate any regulation, statute, or law;
- access property or information of IYA ASSESSORIA E SOFTWARES LTDA - ME that does not pertain to you, including networks, computer equipment, and account information. You are required to comply with spamming, fraud, phishing, hacking regulation and all applicable laws; and
- violate these Terms of Service, any policy of IYA ASSESSORIA E SOFTWARES LTDA - ME, or any other Agreement with IYA ASSESSORIA E SOFTWARES LTDA - ME.
Availability and Security of Platform Access
IES makes reasonable efforts to ensure that its operation is available 24 hours a day, 7 days a week. However, there will be times when the operation will be interrupted for maintenance, upgrades and emergency repairs, or due to failures in telecommunications links and equipment that are beyond the control of the IES. IES will use reasonable business efforts to minimize this disruption whenever possible. You agree that IES shall have no liability for any modification, suspension or discontinuance of the operation of the platform. You understand and agree that the platform is provided "AS IS" without any warranty of any kind, including the existence of viruses or other destructive content.
You are responsible for obtaining access to any functionality and for any charges made by third parties to enable such access (such as Internet service provision or charges for the use and transmission of data). You are responsible for such charges, including those associated with the engagement of advertised items. In addition, you are responsible for the existence and maintenance of all the equipment necessary to access the functionality of the platform.
Mobile Services
The Platform contains services and features that are available for some Mobile Devices. Your carrier's prices and normal rates apply. Not all mobile services will work with all carriers or all Devices. By using IES mobile services, you agree that we will communicate with you electronically to your Mobile Device and that some information about your use of these services may be shared with us. If you change or disable your mobile number, you must immediately update your account information to ensure that we will not send your messages to anyone else.
Third-Party Software and Links
The Platform may contain links to websites, applications or other products or services operated by other companies ("Third-Party Platforms"), whose eventual access will depend exclusively on its convenience and will be at your own risk. IES does not support, monitor or have any control over these Third-Party Platforms, which may have their own terms of use and privacy policies. IES is not responsible for the content or policies of Third-Party Platforms, nor for any damages that you may suffer as a result of your access.
Any act or business resulting from clicking the link that will direct you to the Third-Party Platform will be performed between you and the Third-Party, not involving the IES, which will have no control over them. Therefore, (i) IES does not guarantee that the downloaded software or site visited is free of any destructive code, and (ii) IES informs that it is entirely the user's responsibility to become familiar with any policies of the Third-Party Platforms, including privacy policy, and its terms of use, and recommends that you contact the platform manager if you have any concerns.
Intellectual Property
All intellectual property of this Platform is owned by IES and its licensors, which includes copyrighted materials, trademarks or patents.
All signs and names of products and services used on the platform that identify IES are trademarks owned by IES. All signs and names of products and services used on the platform that identify third parties and their products and services are trademarks owned by third parties. No platform content shall have the power to confer upon any person any license or right belonging to the IES or third parties with respect to any image, logo or name.
Except as expressly provided in these Terms of Use or in the platform, IES owns all copyrights on the contents and functionality of the platform, including but not limited to text, expert advice, professionally validated content, software, scripts, code, designs, graphics, photos, sounds, music, videos, applications, interactive features and other content ("Content") is a collective work protected by applicable laws and copyright laws.
Unauthorized use of any marks or materials owned by IES is considered a violation of our intellectual property rights.

License to Use the Platform
IES grants you a personal, limited, revocable, non-exclusive and non-transferable license to use the Platform and its functionalities. This license shall be exclusively used by you and may not be sublicensed for access to the platform.
Free Trial
- Object: By this particular instrument, the CONTRACTOR grants the CONTRACTING PARTY the right to use the PLATFORM IESFOOTBALL.COM - http://www.iesfootball.com/login, owned by IYA, in the form of a closed code, as well as the content and the structure of the database, help files and any other technical nature, possibly provided by the CONTRACTOR, to monitor, measure and assist the training of up to 100 young people ("USERS").
- Price and payment conditions: As part of the commercial launch agreement, during the first months of this CONTRACT, until November 31, 2018, as a "testing", the CONTRACTOR, by its liberty, exempts the CONTRACTING PARTY from any type of payment.
- Term: The conditions established in this instrument will be valid until November 31, 2018, after which the parties will be able to negotiate a new commercial agreement.
If the period of Free Trial has expired, the Account will be deactivated. In order to prevent deactivation or to reactivate the Account, the User is required a suitable Licensing plan and pay the first fee. If the User does not pay the first fee within 1 month as of the expiry of the Free Trial, Supplier has the right to permanently delete the Account, including all user data therein.
In addition to the current collection of Licenses, Supplier may offer special discounts and motivation schemes (for example finder's fees, etc.).
Payment
- Paid Services
The Service may be provided for a fee or other charge. If you elect to use paid aspects of the Service, your use of such aspects of the Service shall be subject to this Agreement. You also agree to be bound by the specific terms included in any order form, statement of work, or the like (if applicable) to which you indicate your acceptance (for instance, by signing the form or via online click-through acceptance, or by making related payments to IES.
- Payment Processing Services
If you sign up for any aspect of the Service which involves processing of payments by credit card, debit card, or other payment method, you acknowledge that IES may contract with various third parties, such as banks and payment processors, to facilitate such payment processing.
- Mobile Charges
You may use mobile data in connection with IES mobile software applications and/or opt-in to receive certain notifications or information via text messaging. You may incur additional charges from your wireless provider for these services. You agree that you are solely responsible for any such charges.

Physical Activity Notice
This Platform may eventually include several features that promote the physical activity of the registered user and subscribers. Consider all risks involved and consult your physician before engaging in any physical activity. The IES and the authorized professionals involved are not responsible for any injury, muscle fatigue or damage of any nature that result from the use or the inability to use the resources of the Platform. Eventual virtual monitoring of constant fatigue feature available on the Platform does not fully guarantee the safety nor does it exempt the user from the risk of injuries or accidents. The IES and the authorized professionals involved are not responsible for any damages of any nature to the users of its platform.
Registration in the Platform
In order to use the IES platform, it is necessary that your registration be performed, which will lead to the creation of a new user account. The registration of each new user will be made: (i) by the educational institution or sport ("institution") to which it is previously linked, which will make available the information minimally necessary to identify each user; or (ii) by the user or his / her legal representative, when adherence to the platform is performed directly with the IES at events or at any other opportunity.
Once registered in the platform, you will have the opportunity to fill in your registration with the other data needed to use the platform, as well as to make the password change. By doing so, you agree to (i) provide true, accurate, current, and complete information about yourself as requested in the registration forms for which you are required to complete and (ii) keep such information timely updated so that they remain true, accurate, current and complete throughout the period in which the platform is used. If you provide untrue, inaccurate, outdated or incomplete information, or if the IES has specific grounds for believing that information has such attributes, IES will have the right to suspend or terminate your account and refuse any present or future use of its features.
Users under the age of 18 who are registered on the platform by the institutions of education or sport in which they are respectively registered and wish to register should be assisted or represented by their legal representatives. In this case, all references to "you" in these Terms of Use shall refer to the legal representative (s) of the minor registered in the platform, who will be responsible for all content generated through the respective account, including the user's personal information.
In the event that the user disconnects from the educational institution or sport that has registered on the platform, his / her user profile and all associated information generated by reason of the use of the platform will be maintained, except in case of request of account termination made by the user. You can access your profile content containing your performance data at any time. If the user returns to the same institution or joins another company that has also contracted the use of the IES platform, their profile will be fed again, maintaining the previous history.
User Name and Password Protection
When you register on the platform, you must change the default password provided by the educational institution or sport that has registered. From now on, you will be responsible for maintaining the confidentiality of your account and password, and will be fully responsible for any activities that may occur with them. You agree to (i) promptly notify IES of any unauthorized use of your account or password or any breach of platform security and (ii) ensure that you will terminate access to your account at the end of each platform use session. You will not share your password (or, in the case of developers, your secret key), you will not let someone else access your account, or otherwise act in a manner that could compromise the security of your account. You will not provide any false personal information on the Platform, nor create a Username for anyone other than you without permission. You will keep your contact information accurate and up to date. IES shall not be liable for any loss or damage arising from your failure to comply with this section.
Platform Use Restrictions
The platform content may only be used by and for the registered user, for non-commercial purposes and in compliance with the limits set forth in the applicable legislation and these Terms of Use. The platform may only be used in accordance with the expressly available functionalities. Misuse of its respective purposes, as well as for the purpose of offending or harming the IES or third parties or violating any intellectual property rights is strictly prohibited.
Monitoring Data and Sending Communications
In order for the IES functionalities to be developed and performed efficiently, it will be necessary for professionals contracted by the IES to access some of users’ profile data. These professionals are experts in areas related to sports, health and pedagogy that will assume commitments of secrecy and confidentiality of the data obtained for the performance of their services to the IES, responding for possible violations. By agreeing to these Terms of Use, you expressly authorize such professionals to have access to such information as a way to make the platform functionalities effective.
You further acknowledge and agree that IES may access, preserve and disclose information in your account if required to do so by law or in good faith to understand that such preservation or disclosure is reasonably necessary for: ( i) fulfilling obligations in administrative or judicial proceedings; (ii) enforcing these Terms of Use; (iii) responding to claims that any content violates the rights of third parties; (iv) responding to customer service requests made by you; or (v) protecting the rights, property or personal safety of the IES, its users and the general public.
In this context, you authorize IES, directly and through the platform itself, to send you communications related to your own performance, the content of which will be generated by the above mentioned professionals and will aim to provide a constant improvement in your performance in the sport.
Limitation of Liability
You acknowledge that the use of the platform, including that of any link or software availed by third parties, is for the user's entire liability, including all costs eventually associated with the access or maintenance of equipment necessary to the use of such functionalities. you also agree that, in no event shall IES be liable to you or to any third party for any special, indirect, incidental, consequential or punitive damages or any damages whatsoever resulting from loss of use, data or profits, whether based in contract, negligence or other tortious action, arising out of or in connection with the use or performance of services available on the platform, or failure to provide services by IES, whether or not we knew or should have known about the possibility of such damages.
Privacy Policy
IES adopts as its policy the respect for the privacy of individuals who visit the platform, create accounts and use their content. We collect information that identifies and enables contact with the user, such as name and address, so that we can correspond with users about any question regarding the services. From time to time, we may use such information to send you notifications about offers and promotions that may be made available to users. Change of Terms of Use
You agree that IES has the right to change these Terms of Use and platform content, including offers of paid services at any time, for any reason and without prior notice, as well as the right to terminate the platform or any of its contents. Continued use of the platform in response to any changes constitutes the agreement with the respective changes, insertions or modifications made to these Terms of Use. You will be bound to such modifications regardless of notification in this regard.
User Account Suspension and Termination
IES reserves the right to suspend or terminate your account and its use of the platform at any time, without prior notice and for any reason, including but not limited to the following:
- violation of these Terms of Use, including policies or parameters established by IES in other locations;
- conduct that the IES deems prejudicial to other users of the services or business of the IES or third-party information providers.
Further, you agree that IES shall have no liability to you or any third-party for any termination of your access to the platform. IES reserves the right at any time and with any frequency to modify or discontinue, temporarily or permanently, the service (or any part thereof) with or without prior notice. You agree that IES shall not be liable to you or any third-party for the malfunctions, suspensions and discontinuities of the services and features offered by the platform.
General Provisions
Legislation Applicable: You agree that the use of the platform and all related functionality is governed by Brazilian law and that any dispute arising from this use will be prosecuted and judged by the competent Brazilian agency in the specific case.
Civil Responsibility: You agree that you will be liable for damages caused to IES or third-parties for your own unlawful conduct and / or contrary to these Terms of Use, pursuant to applicable law.
Maintenance of Obligations: The eventual tolerance of the IES with respect to non-compliance with any provision of these Terms of Use or applicable law does not imply the deletion of the respective obligation.
Separability: The illegality, nullity, invalidity or ineffectiveness of any provision of these Terms of Use does not imply the illegality, nullity, invalidity or ineffectiveness of the other provisions, which will remain binding on all users of the platform.
No Resale of Services: You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial use any portion of the service, use of the services or access to the services.
Independent Contracting: These Terms of Use and the use of the IES functionalities and services do not imply the formation of joint venture, employment relationship, agency contract or partnership of any modality between you and IES.
Reimbursement of Expenses: If any legal action is taken to enforce compliance with these Terms of Use, the unsuccessful party will be required to reimburse the attorney's fees and procedural expenses borne by the other party, in addition to any indemnity that may be set.
Exclusion of Liability: IES will not be responsible for the default or delay of its obligations due to force majeure, fortuitous cases, exclusive action of third parties or of the user.
Agreement between the Parties: The content of these Terms of Use constitutes the entire agreement between you and IES, prevailing over any prior agreement that may exist.

CONSENT AND RESPONSIBILITY

Assumption of Risks: I am physically and mentally fit for full participation in services. I understand that participation in services involves inherent risks and dangers, including accidents, injury or death.
Release of Liability: I completely release the IES from any and all claims and any other liability directly or indirectly related to or in connection with my participation in the services.

Agreement of the Legal Person for Minors
I am the legal guardian of the Participant. On behalf of the participant and on my own behalf, as the legal guardian, I: (i) agree to all of the terms of the above agreement; (ii) agree to ensure that the Participant will abide by the terms of this Agreement; (iii) I agree not to take any action that may assist, persuade or cause the invalidation, waiver, denial, revocation or waiver of any part of the agreement; (iv) agree to exempt, indemnify and reimburse the IES for any amounts, costs or expenses (including attorneys' fees) that may be borne by any party or paid by any of them to any person (including the participant or insurers) in connection with accidents, injuries (including death), losses or damages resulting from the participation of the participant in the services.

We offer our service providers with the information they need to provide their services and work with them to protect your information.
Periodically, we may establish business relationships with carefully selected partners, which we believe will be trusted (Selected Partners). In such cases, we may share, and cross-track information held by both, including personal information that identifies you, that will allow these individuals or entities to contact you regarding your products and services that may interest you.

IES is committed to motivating, educating and inspiring children and soccer players of all ages through training tools and competitions. IES is also dedicated to protecting your privacy and treating any personal information we collect from you with care and respect.
IES is different from many other education technology companies. Created by educators for educators, we have a direct relationship with the coaches, parents, and athletes involved in the platform. Because of that, user trust is important to us. That’s why we’ve built several privacy protections directly into our product, including the following as we also adhere to COPPA tenants:
What types of personal information do we collect about children?
Children can use our website and view content without personal information being collected. We only collect the child information when they register with us through a school/club or coach to use our services.
The information we collect may include your name and surname, address, telephone number, email address, age, weight, height, gender, soccer team, educational institution or sport, etc. Also, we may request additional information to enable specific actions, always through extensive details and specific prior authorization.
What information do we publish and what information do we not publish about any registered child?
Within our platform, to foster competition we may publish a child’s username, name, video content, city and/or state, club, team and grades given in the platform. We may also publish rankings or results of competitions in the platform and comparison of rankings and results of users.

How do we notify and obtain consent from parents for the collection of information from their children?
We recognize the need for additional privacy protection for minors. To do so, we condition the use of the platform to the authorization and responsibility of the legal guardian of the minor, as provided in our Terms of Use.
We do not collect or solicit personal information from users under the age of 18 without the consent of parents or guardians unless permitted by law. If we find that a person under the age of 18 (minors) has provided us with personal information directly without the permission of his legal guardian, we will exclude this information by applicable law.
Minors cannot create an account by themselves; they can be invited by a coach or school with accounts on the platform. We require the organization to obtain verifiable parental consent from the parent or guardian prior to inputting information about a child into our system.
The legal guardian/parent will receive the first e-mail and authorize the minors to further use our system. If the parent refuses to allow the child’s registration and entry, we delete the child’s information from our database. If we don’t hear back from the parent, after 48 hours we assume the parent has agreed and that it is acceptable for the child to be registered. After 48 hours please see section 4 on how to change or delete the personal information.
How can parents access, change or delete personally identifiable information about their children?
At any time, parents can refuse us from collecting further personal information from the child. Also, you can request that we delete your child’s information at any time. We use two methods:

How will we notify parents if our Children’s Privacy Policy and any other Policy Changes?
Updates to this Privacy Policy: This Privacy Policy may change. Please note the update date at the end of this policy. Any changes to this Privacy Policy will take effect as of the posting of the revised version of the document on the Site. Continued use of the Site or applications after these changes will mean that you have accepted the revised version of the Privacy Statement.
